These Terms and Conditions (“Terms”) govern your access to and use of the services, platform, tools, and resources provided by Tridyn Creative Media (“Tridyn,” “we,” “us,” or “our”), a business operated in the State of Texas. By accessing or using any of our services or platform, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use our services or platform.
1. Services Overview
Tridyn Creative Media provides marketing services to service-based businesses, including but not limited to: Google Business Profile optimization, local SEO, website design and development, lead generation systems, visibility and positioning strategy, and marketing systems implementation. As part of certain service engagements, Tridyn may provide access to a proprietary marketing platform (the “Platform”) for managing contacts, communications, calendars, pipelines, forms, automation, and related tools.
2. Platform Access
Access to the Platform is provided as part of your service agreement with Tridyn. Platform access is granted on a per-account basis and is intended solely for your business use. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Tridyn immediately of any unauthorized use of your account.
Platform access may be provided as part of a bundled service package or as a separately billed subscription, depending on your specific agreement with Tridyn. The terms of your service agreement, proposal, or invoice will specify which applies.
Tridyn reserves the right to suspend or terminate your Platform access at any time if you violate these Terms, if your account is past due, or if your service agreement has ended.
3. Acceptable Use
You agree to use the Platform and our services only for lawful business purposes. You will not use the Platform to send unsolicited messages (spam), transmit content that is illegal, harassing, defamatory, or misleading, or violate any applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable communications regulation.
You are solely responsible for the content you create, upload, send, or publish through the Platform, including emails, text messages, forms, landing pages, and any other materials. Tridyn is not responsible for reviewing or approving your content before it is distributed.
You agree not to share your Platform login credentials with unauthorized parties, attempt to access other users’ accounts or data, reverse engineer or attempt to extract the source code of the Platform, or use the Platform in any way that could damage, disable, or impair its functionality.
4. Fees and Payment
You agree to pay all fees associated with your service agreement in accordance with the payment terms outlined in your proposal, contract, or invoice. Fees may include service fees, Platform access fees, setup fees, or other charges as specified in your agreement.
All fees are non-refundable unless otherwise stated in your service agreement. If payment is not received within the timeframe specified in your invoice, Tridyn reserves the right to suspend services and Platform access until the balance is resolved.
Tridyn reserves the right to adjust pricing with 30 days written notice. Continued use of services after a pricing change constitutes acceptance of the new pricing.
5. Data Ownership and Responsibility
You retain ownership of the data you input into the Platform, including contact lists, customer information, business details, and content you create (“Your Data”). Tridyn does not claim ownership of Your Data.
You are responsible for ensuring that you have obtained proper consent to collect, store, and communicate with any contacts in your account, in compliance with all applicable privacy laws and regulations.
Upon termination of your service agreement, Tridyn will make reasonable efforts to provide you with an export of Your Data upon request, provided the request is made within 30 days of termination and your account is in good standing. After 30 days, Tridyn reserves the right to delete Your Data from the Platform.
6. Intellectual Property
All materials, strategies, frameworks, templates, workflows, automations, and deliverables created by Tridyn in the course of providing services remain the intellectual property of Tridyn Creative Media unless explicitly transferred in writing. You are granted a non-exclusive license to use deliverables created for your business for your own business purposes.
The Platform, its design, features, and underlying technology are the property of their respective owners. Your access does not grant you any ownership rights in the Platform itself.
7. Third-Party Services and Integrations
The Platform may integrate with or rely upon third-party services, including but not limited to Google, Facebook, email service providers, phone/SMS providers, payment processors, and other tools. Tridyn is not responsible for the availability, performance, accuracy, or policies of any third-party service. Changes made by third-party providers to their platforms, APIs, or terms of service may affect the functionality available to you.
Your use of third-party services through the Platform is subject to those services’ own terms and conditions.
8. Service Availability
Tridyn strives to maintain consistent availability of the Platform and services but does not guarantee uninterrupted or error-free access. The Platform may experience downtime due to maintenance, updates, or circumstances beyond our control. Tridyn is not liable for any losses, missed opportunities, or damages resulting from Platform downtime or service interruptions.
9. Limitation of Liability
To the fullest extent permitted by law, Tridyn Creative Media, its owner, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or Platform, including but not limited to lost revenue, lost profits, lost data, or business interruption.
Tridyn’s total liability for any claim arising from our services shall not exceed the total amount you paid to Tridyn in the three (3) months preceding the event giving rise to the claim.
Tridyn does not guarantee specific results, rankings, lead volume, revenue increases, or any other business outcome as a result of our services. Marketing results depend on many factors outside of Tridyn’s control.
10. Indemnification
You agree to indemnify and hold harmless Tridyn Creative Media, its owner, employees, and contractors from any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your content or communications sent through the Platform, or your violation of any applicable law or regulation.
11. Termination
Either party may terminate the service relationship in accordance with the terms outlined in the applicable service agreement, proposal, or contract. If no specific termination terms exist in your service agreement, either party may terminate with 30 days written notice.
Upon termination, your access to the Platform will be revoked. Any outstanding fees remain due and payable. Sections of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Intellectual Property) will remain in effect.
12. Confidentiality
Both parties agree to keep confidential any non-public business information, strategies, data, or materials shared during the course of the service relationship. This obligation survives termination of the agreement. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
13. Dispute Resolution
Any disputes arising from these Terms or your use of Tridyn’s services shall first be addressed through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration in the State of Texas, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs of arbitration.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
15. Changes to These Terms
Tridyn reserves the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or through the Platform. Your continued use of our services or Platform after any changes constitutes acceptance of the updated Terms.
16. Entire Agreement
These Terms, together with any service agreement, proposal, or contract between you and Tridyn, constitute the entire agreement between the parties. In the event of a conflict between these Terms and a signed service agreement, the signed service agreement shall take precedence.
